These Terms & Conditions (“Terms”) govern your use of our website and any inquiry, discussion, proposal, or service engagement with us. B) Inquiry & Pre-Contract Terms (Before You Become a Client)

5. Quotations & Proposals

Any quote, estimation, or proposal we provide is based on the information you share at that time. Final pricing, timeline, and deliverables may change if requirements change or new scope is added.

6. Confidentiality in Discussions

We treat your shared project information as confidential for business purposes. However:

  • A formal NDA is optional and can be signed if required.
  • You should avoid sharing extremely sensitive credentials in early discussions unless necessary.

7. Communication

We aim for fast response and clear updates. Standard communication channels may include email, WhatsApp, project management tools, or video calls based on client preference.

C) Client Service Terms (When You Hire BD Webhut)

8. Scope of Work & Deliverables

All services are delivered based on an agreed Scope of Work, which may be defined by:

  • a written proposal, quotation, service package, email confirmation, or project document.

Anything not listed in the agreed scope is considered out of scope and may require additional time and cost.

9. Revisions & Approval

Unless otherwise agreed:

  • We provide reasonable revisions aligned with the approved scope.
  • Revisions do not include full redesigns or major direction changes after approval.
  • Client approvals (design/content/features) are required at key milestones to avoid delays.

10. Client Responsibilities

To deliver projects properly, you agree to provide:

  • timely feedback and approvals,
  • required content/assets (logo, text, images), unless content creation is included,
  • access credentials (hosting/CMS/third-party tools) where needed,
  • correct business/legal information for your website/app.

Delays in providing these may impact delivery timelines.

11. Payment Terms

Payment terms depend on the project type and will be written in the proposal/invoice. Common models:

  • Fixed price (small projects/tasks)
  • Milestone-based (medium/large builds)
  • Monthly retainer (ongoing work + priority support)

Unless otherwise agreed:

  • work may pause if payments are overdue,
  • third-party costs (hosting, premium plugins, paid tools, APIs) are paid by the client or reimbursed.

12. Fast Delivery / Priority Support (Retainer Option)

For clients who need urgent or continuous support, we offer priority delivery under a reasonable monthly retainer. This includes faster response time and planned execution based on workload and feasibility.

13. Change Requests & Additional Work

If you request new features or changes beyond the agreed scope:

  • we will confirm impact on timeline and cost,
  • we may issue an updated quote or add-on invoice,
  • work proceeds after approval.

14. Ownership & Deliverable Handover

After full payment:

  • you own the final deliverables created specifically for your project (website code, design files, or agreed assets),
  • third-party assets/tools remain subject to their own licenses (themes, plugins, stock images, fonts, APIs).

We may keep reusable internal code components, frameworks, templates, or non-client-specific utilities.

15. Access, Credentials & Security

We may require admin access to deliver work. You agree:

  • to provide correct access,
  • to keep credentials secure,
  • to change passwords after project completion if you prefer.

We will not be responsible for issues caused by insecure hosting, outdated software, compromised credentials, or third-party provider failures outside our control.

16. Maintenance & Support

Unless a maintenance plan or retainer is agreed, post-launch support may be limited to a short handover period (as specified in your proposal). Ongoing support, updates, backups, and monitoring can be continued under a monthly plan.

17. Delays, Suspension, and Termination

Either party may end a project with written notice if:

  • the other party breaches agreements,
  • communication becomes inactive for an extended period,
  • payments remain unpaid,
  • the project becomes impossible due to external factors.

If the project is terminated:

  • client pays for completed work and committed costs,
  • deliverables are handed over based on the stage of completion and payments received.

18. Refund Policy

Unless otherwise stated in a specific agreement:

  • payments for completed milestones/work are non-refundable,
  • refunds (if any) may apply only for work not started, at our discretion,
  • third-party purchases are non-refundable (themes, domains, hosting, paid tools).

19. Portfolio & Case Study Use

Unless you request confidentiality in writing, we may showcase completed work (screenshots, links, short description) in our portfolio. We will never expose private credentials or confidential business data.

20. Limitation of Liability

To the maximum extent allowed by law:

  • we are not liable for indirect or consequential losses (lost profits, business interruption),
  • our total liability is limited to the amount paid for the specific service in question,
  • we do not guarantee specific financial results (sales, ranking, revenue), because outcomes depend on many external factors.

21. Governing Law

These Terms are governed by the laws of Bangladesh, as BD Webhut is a Bangladesh-registered company. For international clients, we aim to resolve disputes professionally through mutual discussion first.

22. Updates to These Terms

We may update these Terms. The latest version will be published on this page with an updated “Last Updated” date.
